St. Louis Cardiovascular Institute (SLCI) is an office-based laboratory performing intervention and peripheral vascular procedures. St. Louis Specialty Surgical Center (SLSSC) is an ambulatory surgery center specializing in defibrillator, event recorder, pacemaker, catheterization, ERCP, colonoscopy, and EGD procedures. The two facilities are located under a shared roof in Kirkwood, Missouri, a Western suburb of St. Louis. SLCI & SLSSC operate independently; but of the 16 physicians on staff, many are partner physicians with ownership in both of the entities.

This case study details how BGL’s Healthcare Facilities team advised SLCI & SLSCC during transaction negotiations, facilitating a partnership that allowed SLCI and SLSSC to maintain their identity and relationships within the community while operating under a larger national organization.
