Zooth, Inc. ("Zooth" or the "Company") is a leading designer and rapidly growing global distributor of children's sculpted manual toothbrushes, sculpted battery powered toothbrushes, and toothpaste. Zooth's products feature the licensed image of a popular children's character (e.g. Barbie®, Hello Kitty®, Spiderman®, and Hot Wheels®), either sculpted into the handle of the Company's toothbrushes or as printed graphics on the Company's toothpaste. |

After many years of successful operations, the Company's majority owner realized that in order to achieve significant growth outside of the United States, Zooth required substantial capital investments and a global distribution network. As such, the shareholders decided to sell the Company to a firm better positioned to invest in Zooth's growth, and in particular aid with international expansion. |

| Results: |
BGL was engaged to sell Zooth in a timely fashion, with minimal disruption to the business, and to maintain the highest level of confidentiality throughout the process. Due to the limited number of global oral care competitors and the unique nature of the business (i.e., "virtual company" combined with numerous licenses), BGL initiated a targeted sale process, approaching the most likely global strategic acquires as well as selected private equity firms with sector knowledge of consumer products. The transaction was consummated with Gillette, a company that can quickly leverage Zooth's products in most global markets. In addition to favorable valuation and transaction terms, the partnership with Gillette provides Zooth and its shareholders the opportunity to participate in and benefit from the strong growth potential of the Company. |
