BGL Announces the Sale of RemTec International

Another Friendly Outcome for our Client and the Environment

Cleveland | Brown Gibbons Lang & Company today announced the sale of Reclamation Technologies, Inc. dba RemTec International (RemTec), a U.S.A. based leader in the controlled halocarbon management and sustainability industry, to U.K. headquartered A-Gas International (A-Gas), a company backed by U.K. private equity firm LDC Ltd. (LDC). Terms of the transaction were not disclosed.

Founded in 1986, RemTec has provided products and services involving Ozone Depleting Substances (ODS) and substances high in Global Warming Potential (GWP) on a worldwide basis. The Company’s patented and proprietary equipment is used to recover and reclaim Halons and their replacement agents used in the fire protection industry and CFCs, HCFCs, and HFCs used in refrigerant and HVAC applications. Through expanding its geographic footprint to international locations such as the Middle East, China, Australia and India and integrating key technologies and equipment, RemTec possesses one of the most comprehensive and technically advanced international operations in the controlled halocarbons industry, enabling it to extract maximum value from ODSs and GWP substances while safeguarding the environment.

The Company’s capabilities represent a complete “end-to-end” solution for clients’ controlled halocarbon needs, including identification of unknown ODS and GWP substances, on-site removal and packaging, handling and shipping in accordance with all regulations, cylinder refurbishing and recertification, fractional distillation, and establishing halocarbon banks and strategic reserves. RemTec also offers safe and reliable halocarbon destruction options for all ODS and GWP material and is one of the largest generators of carbon offset credits issued by the California Climate Action Reserve. RemTec contracts with organizations all over the world to remove, recycle, and remarket controlled halocarbons, including the U.S. and multiple other federal governments and numerous Fortune 500 companies serving the aviation, fire suppression, refrigeration, propellant, and environmental services end markets.

“I am extremely proud of the business that we have developed over the past 26 years and am excited about our prospects with A-Gas and LDC,” stated Richard Marcus, CEO and founder of RemTec. “With positive trends in sustainability driven by social environmental pressure, government regulation, commercial opportunity, and a large global supply of ODS and GWP substances that requires proper disposal, the business stands well-positioned to further accelerate its growth.”

Jon Masters, Group Managing Director of A-Gas commented, “RemTec strengthens our lead in refrigerant separation technology, and our Environmental Services business on both sides of the Atlantic will feed off each other and innovate faster, benefitting our customers in both the U.K. and U.S.A. Further, this acquisition builds group presence in niche industrial specialty products, in line with our strategy of building the group beyond our roots in refrigeration.”

Effram Kaplan, Managing Director and Principal of BGL and head of the Business and Environmental Services practice commented, “We are very excited for RemTec and A-Gas to advance their position in the global marketplace as the preferred provider of halocarbon products and services. The success of the transaction process is further testament of the impressive strategic asset that RemTec is today and the global macro trends of a growing appetite among international parties for U.S. assets and impressive investment opportunities in the environmental and sustainability industry.”

Effram Kaplan and Steven Kemmerling led the BGL transaction team. McHugh & McCarthy, Ltd. served as RemTec’s legal counsel and Thompson Hine LLP represented A-Gas and LDC.
